1. About these terms

These Terms of Service (“Terms”) govern your access to and use of the CertCard platform (“Service”), operated by Code Strategy Limited, a company registered in England & Wales (Company No. 16243141), trading as CertCard.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. The Service

CertCard is a cloud-based platform that enables organisations to track employee certifications, generate branded digital ID cards with QR verification, receive expiry alerts, and manage compliance records.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make reasonable efforts to notify you of material changes.

3. Accounts and registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must notify us immediately at support@certcard.net if you suspect unauthorised access to your account.
  • You must be at least 18 years old to create an account.

4. Subscriptions and payment

4.1 Plans and pricing

The Service is offered under various subscription plans as described on our pricing page. Prices are stated in British Pounds (GBP) and are exclusive of VAT unless otherwise stated.

4.2 Free trials

We may offer a free trial period. At the end of the trial, your subscription will begin and you will be charged unless you cancel before the trial expires.

4.3 Billing

Subscriptions are billed monthly or annually in advance. Payments are processed securely through our third-party payment provider. You authorise us to charge your chosen payment method on each billing date.

4.4 Cancellation and refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial billing periods unless required by applicable law.

4.5 Price changes

We may change our pricing with at least 30 days’ notice. Price changes will apply from the start of your next billing period following the notice.

5. Your responsibilities

You agree to:

  • Use the Service in compliance with all applicable UK laws and regulations.
  • Ensure that all data you upload (including employee information, photographs, and certification details) is accurate and that you have the necessary rights and consents to process it.
  • Maintain appropriate data protection measures within your organisation in accordance with the UK GDPR and Data Protection Act 2018.
  • Not use the Service for any unlawful or fraudulent purpose.
  • Not attempt to gain unauthorised access to any part of the Service, other accounts, or related systems.
  • Not reverse engineer, decompile, or disassemble any part of the Service.
  • Not use automated means (bots, scrapers) to access the Service without our prior written consent.

6. Data and privacy

Our Privacy Policy explains how we collect, use, and protect personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Where you upload employee personal data to the Service, you act as the data controller and we act as a data processor. We will process such data only in accordance with your instructions and applicable data protection law.

7. Intellectual property

7.1 Our rights

The Service, including its design, software, text, graphics, and branding, is owned by Code Strategy Limited and protected by intellectual property laws. Nothing in these Terms grants you any rights in our intellectual property except the limited right to use the Service as permitted.

7.2 Your content

You retain ownership of all data and content you upload to the Service. You grant us a limited licence to use, store, and process your content solely to provide and improve the Service.

8. QR verification pages

The Service generates public verification pages accessible by scanning QR codes on digital ID cards. These pages display limited employee information (name, role, organisation, and certification status) to allow on-site identity and qualification verification.

You acknowledge that this information will be publicly accessible to anyone who scans the QR code and are responsible for informing your employees accordingly.

9. Service availability and support

We aim to provide a reliable service with 99.9% uptime. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where possible.

10. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by English law.

11. Indemnification

You agree to indemnify and hold harmless Code Strategy Limited and its officers, directors, and employees from any claims, damages, or expenses arising from your breach of these Terms, your use of the Service, or your violation of any applicable law.

12. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or if required by law. We will provide reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be deleted.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
